Sam has just graduated from the Business University and has applied for a three week internship with a commercial law firm called London Law.

Sam has just found out that she has received an invitation to interview for an internship. Sam is aware that if she impresses members of the various departments at London Law it may lead to a training contract at the firm. Sam has been told by Deb, the HR Manager at London Law, that during the internship, the successful candidate would spend time in each of the following two divisions at the firm: Employment Law and the Company Law Division. As part of the interview process, Sam is given a set of questions. One question relates to the two divisions in which she would work during her internship.

Samuel is asked the following:

Discuss the fundamental features of the formation of the Company in the UK (1000 words).
Discuss the broad historical structure of UK Employment Law and indicate who you think UK Employment Law favours – either employers or employees (1000 words).
Company formation in the UK:

The process of forming a company in the UK involves several steps, including:

Choosing a business structure: There are several different types of business structures to choose from in the UK, including sole traders, partnerships, and limited companies. Each type of business structure has its own advantages and disadvantages, and it is important to consider which one is most suitable for your business.

Choosing a company name: The name you choose for your company must be unique and cannot be the same as any other company registered in the UK. There are also certain restrictions on what types of names you can use, such as names that are considered offensive or misleading.

Registering the company: To register a company in the UK, you will need to file certain documents with Companies House, the government agency responsible for registering and regulating companies in the UK. This includes a memorandum of association, which outlines the company’s purpose and objectives, and articles of association, which set out the rules for how the company will be run.

Appointing directors: Every limited company in the UK must have at least one director, who is responsible for managing the company. Directors must be at least 16 years old and cannot be disqualified from acting as a director.

Issuing shares: A limited company may issue shares to its owners (also known as shareholders). The number of shares issued and the value of each share is determined by the company’s articles of association.

UK employment law:

UK employment law is a complex area that covers a wide range of issues, including employment contracts, working hours, pay and benefits, health and safety, and discrimination. Some of the key principles of UK employment law include:

The right to a written statement of employment: Under UK law, employees have the right to receive a written statement of their employment terms within two months of starting work. This statement should include details such as the employee’s job title, hours of work, pay, and any leave entitlements.

The right to a minimum wage: All workers in the UK are entitled to receive a minimum wage, which is currently £8.91 per hour for workers aged 23 and over.

The right to paid holidays: Employees in the UK are entitled to at least 28 days of paid holiday per year, including bank holidays.

The right to protection from discrimination: UK law prohibits discrimination on the grounds of age, race, religion, gender, sexual orientation, and disability. This means that employers cannot treat employees differently because of any of these characteristics.

In terms of who UK employment law favors, it is difficult to say definitively whether it favors employers or employees. The law is designed to balance the rights and responsibilities of both parties and to ensure that workers are treated fairly and with respect. However, some people may argue that the law favors employers more, as they have more resources and power in the workplace. Others may argue that the law favors employees, as it provides them with important protections and entitlements. Ultimately, it depends on one’s perspective and the specific circumstances of a given case.
